Position Overview

This position is an opportunity for a talented generalist lawyer to serve in an impactful, business-oriented in-house legal role in the healthcare IT industry, supporting ZOLL’s Data Systems business. Serving as a critical member of a dynamic team, the Director will partner with the business to review, negotiate, and draft a wide range of commercial agreements, manage litigation, and provide legal advice on a broad range of issues.

The position supports all levels of the business, but entails significant interaction with business leadership across all functions, and accordingly requires meaningful judgment, discretion, and organizational intelligence. The Director will collaborate with internal clients in all functional areas, including sales, R&D, marketing, and customer success. Success will help drive sales acceleration and speed new offerings to market. This person will work alongside other subject-matter experts in intellectual property and data security.

As the lead attorney for the Data Systems division, the Director needs to have the experience, confidence, and presence to be a credible and effective partner to the leadership team of the business. The Director must be a data driven analytical decision maker. S/he must have the ability to develop a consensus,  balance strategy and tactics, and have a disposition to rolling up one’s sleeves to do what is needed.

The Director will also occasionally support corporate-wide initiatives and the legal needs of ZOLL’s other business units, as the legal department works collaboratively based upon workload and bandwidth.

The position reports to the Vice President and General Counsel, located in Chelmsford, MA, with dotted line reporting to the CFO of the Data Systems business, and will also interact significantly with the President of the Data Systems business, both located in Broomfield. Periodic travel to Chelmsford and other ZOLL locations is required (under normal public health conditions) but will rarely exceed 20%. The position currently entails three direct report, a corporate lawyer, proposals manager, and a contracts administrator.


Specific responsibilities of the Director will include:

  • Draft and Negotiate Contracts – Review, manage, and maintain the division’s contract templates. Review and negotiate all forms of contracts and third party agreements with customers, vendors, and partners. Examples include software license and ASP customer agreements, business associate agreements, reseller agreements, and service agreements. In particular, the sales process can entail significant contract negotiation.

  • Serve as Compliance Officer Serve as a trusted advisor and partner to employees at all levels of the organization. Develop programs, policies, and procedures to prevent, detect, and resolve instances of conduct that do not conform to applicable law, regulation, or ZOLL policy. Ensure compliance with HIPAA, GDPR, FCRA, GLB, and other privacy regulations. Identify potential areas of compliance vulnerability and risk, develop and implement action plans for resolution of challenges, and provide general guidance on how to avoid or deal with similar situations in the future. Develop and deliver educational and training programs to employees and other key relationships. Investigation of compliance concerns, questions, or complaints.

  • Advise the Business – Provide timely, high-quality analysis and pragmatic advice on legal and business issues to internal clients. Provide proactive legal and business counseling on a broad range of topics, including, general commercial law, contract interpretation, and, in conjunction with other subject-matter experts, intellectual property.

    • Assist in the development or enhancement of business processes and procedures.

    • Create tools that empower business leaders to mitigate legal risks.

    • With the support of the Contracts Administrator, oversee the business’s contract management program.

  • Manage Litigation – Engage in pre-litigation activities, and supervise and manage outside counsel in litigation activities. Examples include commercial disputes with customers and vendors and employment disputes. Identify appropriate opportunities to mitigate litigation risk while balancing business needs.

  • Support Corporate Initiatives – Assist with corporate-level initiatives, such as acquisitions, investments, organization structure, corporate governance, and strategic planning. Perform other duties as assigned by the Vice President & General Counsel.

Key Qualifications

  • A minimum of seven years of legal experience with at least three years spent in a law firm and some in-house experience

  • Corporate/transactional experience

  • Privacy law experience

  • Experience in technology companies preferred, and in particular experience with SaaS

  • Experience in health care preferred

  • Experience creating and implementing legal processes and procedure preferred

  • Highly organized and self-directed with hands-on work style

  • Sound time-management skills

  • Strong ability to draft and negotiate legal documents, with attention to detail

  • Low-ego team player comfortable facilitating change through reason rather than directing

  • Strong oral and written communication and interpersonal skills, including the ability to actively listen
