Job Summary:

The position supports all levels of the business, but entails significant interaction with business leadership across all functions, and accordingly requires meaningful judgment, discretion, and organizational intelligence. The AGC will collaborate with internal clients in all functional areas, including R&D, sales, marketing, sourcing, compliance, and clinical and scientific affairs. Success will help drive sales acceleration and speed new products to market. This person will work alongside other subject-matter experts in intellectual property and compliance.

Essential Functions:

Specific responsibilities of the Counsel will include:

  • Draft and Negotiate Contracts – Review, manage, and maintain the division’s contract templates. Review and negotiate all forms of contracts and third party agreements with customers, vendors, and business partners. Examples include sales and lease agreements supply agreements, services agreements, distribution agreements, clinical trial agreements, and technology license agreements.
  • Manage Litigation – Engage in pre-litigation activities, and supervise and manage outside counsel in litigation activities. Examples include product liability, employment, and commercial disputes. Identify appropriate opportunities to mitigate litigation risk while balancing business needs.
  • Advise the Business – Provide timely, high-quality analysis and pragmatic advice on legal and business issues to internal clients. Provide proactive legal and business counseling on a broad range of topics, including, general commercial law, contract interpretation, and, in conjunction with other subject-matter experts, healthcare compliance issues, privacy, and intellectual property.
    • Assist in the development or enhancement of business processes and procedures.
    • Train employees on issues related to employment law and compliance.
    • Create tools that empower business leaders to mitigate legal risks.

Skills Requirements:

  • Corporate/transactional experience
  • Litigation management experience preferred
  • Experience in life sciences, and medical devices in particular, are desirable
  • Experience creating and implementing legal processes and procedure preferred
  • Highly organized and self-directed with hands-on work style
  • Sound time-management skills
  • Strong ability to draft and negotiate legal documents, with attention to detail
  • Strong oral and written communication and interpersonal skills, including the ability to actively listen
  • Strong business judgment with a record of strategic thinking
  • Proactive and motivated, with a strong work ethic and the ability to manage competing priorities
  • Ability to apply established analytical skills to identify critical issues and determine possible solutions
  • Nimble and able to pivot quickly and perform well in a fast-paced, lean, entrepreneurial environment
  • Unpretentious roll up-the-sleeves personality
  • Well-developed senses of urgency and accountability

Required/Preferred Education and Experience:

  • A minimum of eight years of legal experience with both law firm and in-house experience preferred
  • J.D. from an accredited institution.
  • Membership in good standing in at least one state bar.
