Commercial Counsel

Location: Chelmsford, MA


Job Summary:

ZOLL is seeking an experienced, motivated and solutions-oriented attorney to review, negotiate and draft a wide range of commercial agreements, including sales agreements, supply agreements, services agreements, distribution agreements (domestic and international), clinical trial agreements, technology license agreements, software license agreements and SaaS agreements.  Helping to drive sales acceleration and speed new products to market, you will collaborate with internal clients in all functional areas, including R&D, sales, marketing, procurement and clinical affairs.  This position will support three ZOLL divisions: Resuscitation, Cardiac Management Solutions, and Circulation. 

This position is located in ZOLL’s corporate offices in Chelmsford, MA and will report to the Division General Counsel—Resuscitation with dotted-line reporting to Division General Counsel – Cardiac Management Solutions.  Monthly travel to Pittsburgh, PA will be necessary.

Essential Functions:

  • Review, negotiate, and draft a variety of commercial agreements
  • Draft, review, manage and maintain contract templates and provide related internal training
  • Work closely with internal teams to establish relationships and deliver consistent, practical legal guidance and support
  • Perform other duties as required

Skill Requirements:

  • 5+ years of experience drafting and negotiating contracts
  • Excellent interpersonal, communication, and problem-solving skills
  • Communicates clearly and frequently; actively listens
  • Seeks to understand business issues and deliver pragmatic, impactful advice
  • Self-motivated, highly responsive, team player with the ability to drive projects, identify and resolve issues, and earn the confidence of business leaders
  • Strong organizational skills and ability to multi-task
  • Solid business judgment with a record of strategic thinking
  • Strong computer skills required
  • Life sciences industry experience is desirable
  • Membership in good standing in at least one state bar


  • Strong academic credentials; J.D. from an accredited institution.
