This position is an opportunity for a talented lawyer to serve in an impactful, business-oriented in-house legal role in the medical device industry, supporting the commercial needs of ZOLL’s businesses in EMEA. Serving as a critical member of a dynamic team, the Counsel will partner with the businesses to review, negotiate, and draft a wide range of commercial agreements and provide legal advice on a broad range of issues.

The position supports all levels of the businesses but entails significant interaction with business leadership across all functions, and accordingly requires meaningful judgment, discretion, and organizational intelligence. The Counsel will collaborate with internal clients primarily in sales, marketing and service. Success will help drive sales acceleration and strategic collaborations.

The position reports to the Division General Counsel, Resuscitation and Circulation Divisions, with dotted line reporting to the Division General Counsel, CMS Division, and is located in Cologne, Germany.  Fluency in both English and German is required.  Travel throughout Europe and to ZOLL’s U.S. offices is required.

Essential Functions:

Specific responsibilities of the Counsel will include:

  • Draft and Negotiate Contracts—Review, manage, and maintain contract templates for EMEA. Review and negotiate all forms of contracts and third-party agreements with customers, vendors, and business partners, including agreements necessary for GDPR compliance.

  • Review tenders—Assist in reviewing government (including military) tenders for capital equipment and software.

  • Advise the Businesses – Provide timely, high-quality analysis and pragmatic advice on legal and business issues to internal clients. Provide proactive legal and business counseling on a broad range of topics, including general commercial law, contract interpretation, and, in conjunction with other subject-matter experts, healthcare compliance issues, privacy (GDPR and other privacy laws), and intellectual property.

  • Developing processes—Assist in the development and/or enhancement of legal processes and procedures.

Skills Requirements:

  • Corporate/transactional experience

  • Experience in life sciences, and medical devices in particular, are desirable

  • Experience creating and implementing legal processes and procedure preferred

  • Highly organized and self-directed with hands-on work style

  • Sound time-management skills

  • Strong ability to draft and negotiate legal documents, with attention to detail

  • Strong oral and written communication and interpersonal skills, including the ability to actively listen

  • Strong business judgment with a record of strategic thinking

  • Proactive and motivated, with a strong work ethic and the ability to manage competing priorities

  • Ability to apply established analytical skills to identify critical issues and determine possible solutions

  • Nimble and able to pivot quickly and perform well in a fast-paced, lean, entrepreneurial environment

  • Unpretentious roll up-the-sleeves personality

  • Well-developed senses of urgency and accountability

  • Fluent in German and English

Required/Preferred Education and Experience:

  • A minimum of five years of legal experience with both law firm and in-house experience preferred

  • First and Second State Exam in Law
